1. This Agreement
PLEASE REVIEW THESE TERMS OF USE BEFORE USING THE WEBSITE. This is a legal agreement (the "Agreement") between you ("You" or "Your") and Carolina Business Directory Inc or if applicable one of it's affiliates, ("Carolina Business Directory") regarding Your use of Carolina Business Directory and it's affiliates website and related non-legal services (collectively, the "Website"). By using the Website, You represent and warrant that You have read and understood, and agree to be bound by, the Agreement and Carolina Business Directory Privacy Policy (the "Privacy Policy").
By using the Website, You further represent and warrant that You are 18 years old or older, and that You are otherwise legally qualified to enter into contracts under applicable law. IF YOU DO NOT UNDERSTAND THIS AGREEMENT, OR DO NOT AGREE TO BE BOUND BY IT OR THE PRIVACY POLICY, OR ARE NOT LEGALLY QUALIFIED TO ENTER INTO CONTRACTS, YOU MUST IMMEDIATELY LEAVE THE WEBSITE.
2. Agreement Modification
Carolina Business Directory reserves the right to change the terms, conditions, and notices under which it offers the Service at any time and without notice, and such modifications shall be deemed effective immediately upon posting of the modified terms. You are responsible for regularly reviewing these terms, conditions and notices, and any additional terms. 3. Advertisers & Consumers
Carolina Business Directory purpose is to bring local businesses and consumers together. We collect information from businesses and a variety of sources to display which allows us to provide visitors to our website useful information. We are not affliated with all businesses on our website, some businesses are on our website free of charge and their information provided is public knowledge. When businesses pay to use our directories to promote their business or organization, business owners or representatives decide for themselves how much information they wish to display. A business or organization may, at any time, choose to be removed from our listings at no charge by contacting an authorized representative of Carolina Business Directory Inc. Users of the website understand and agree that the Service may include advertisements and that these advertisements are necessary for Carolina Business Directory to provide the Service.
The Carolina Business Directory will not knowingly provide to, or accept from, the Advertiser, webpages that contain, or the links to websites that contain anything illegal, pornographic, degrading or abusive to another person, including, but not limited to, gambling, hate-group propaganda; or provide links to such material that may provide material that is grossly offensive, including , but not limited to, expressions of bigotry, racism, hatred, profanity; or for promoting or providing instructional information about illegal activities, or promoting physical harm or injury against any individual, group, race or country.
Advertisers agree to provide products or services that may only be used for lawful purposes. Providing or solicitation of any material that violates United States Federal, State, or other policies or laws that may apply in this jurisdiction or your local area is prohibited. This may include material that is obscene, threatening, harassing, libelous, or in any way a violation of intellectual property laws. Advertisers also agree to abide by the policies of the Carolina Business Directory and any host server that Carolina Business Directory may utilize. No material may be published on web pages provided by the Carolina Business Directory , or linked thru, or to, that would commonly be considered "indecent" or " adult material.
Carolina Business Directory WILL NOT be responsible, nor held liable for, your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Carolina Business Directory website, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings. These actions are solely between you and such advertiser. You agree that Carolina Business Directory shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on Carolina Business Directory or any of it's affiliates websites. Carolina Business Directory and its suppliers do not warrant or guarantee the accuracy, completeness or timeliness of any information available on any Carolina Business Directory Web Pages. Carolina Business Directory and its suppliers do not authorize the use of information available from Carolina Business Directory Web Pages for any purpose other than your personal use. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAROLINA BUSINESS DIRECTORY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE WEBSITE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. 6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAROLINA BUSINESS DIRECTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, REGARDLESS OF ANY ADVICE OR NOTICE GIVEN TO CAROLINA BUSINESS DIRETORY, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE. IF YOU ARE DISSATISFIED WITH THE SERVICE, YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST ANY CAROLINA BUSINESS DIRECTORY PARTY WITH RESPECT TO THIS AGREEMENT OR THE SERVICE, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.
7. Indemnity
You agree to indemnify and hold harmless Carolina Business Directory, its parent, subsidiaries and affiliates its members, employees, customers, suppliers and agents from and against any liability, damages or costs, including without limitation reasonable professional fees and expenses, arising from relating to your use of the Material or your violation or breach of these Terms and Conditions.
If you have a dispute with one or more users, you release Carolina Business Directory (and our agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
8. Termination
If you breach any these Terms and Conditions, fail to make full payment when requested, or if Carolina Business Directory is unable to verify or authenticate any information you submit to the Website registration, Carolina Business Directory shall have the right, at its sole discretion, to delete any or all of your information from this Website and immediately terminate your right to access the Site and/or any other service provided to you by Carolina Business Directory. Carolina Business Directory may terminate or suspend your access to the Service at any time, with or without cause, with or without notice.
9. Map Information
Map information provided through the Website is intended for planning purposes only. You may find that construction projects, traffic conditions or other events may differ from the map results. You may not delete or in any manner alter the copyright, trademark, or other proprietary rights notices appearing in any map information provided on the Website.
10. Copyright Infringement
Carolina Business Directory respects the intellectual property of others, and we ask our ADVERTISERS to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact Carolina Business Directory with the following information:
1.) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
2.) A description of the copyrighted work that you claim has been infringed.
3.) A description of where the material that you claim is infringing is located on the site.
4.) Your address, telephone number, and email address.
5.) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
6.) A statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
11. Severability; Waiver
If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
12. Assignment
This Agreement and all of Your rights and obligations hereunder will not be assignable or transferable by You without the prior written consent of Carolina Business Directory. Notwithstanding the foregoing, this Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
13. Relationship
Without limiting any other provision of this Agreement, this Agreement creates no agency, partnership, joint venture or employee-employer relationship between You and Carolina Business Directory.
